1. Acceptance of Terms

By accessing and using ITLOOP ("the Platform," "we," "our," or "us"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

2. Description of Service

ITLOOP is a platform that connects Small and Medium Businesses (SMBs) with Managed Service Providers (MSPs) for IT security services. Our services include:

• Security scanning and assessment services
• MSP-SMB matching based on requirements and certifications
• Proposal management and connection facilitation
• Payment processing for connection fees
• Certification tracking and management

3. User Accounts

3.1 Account Registration

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Types

The Platform supports three types of accounts:

• SMB Accounts: For businesses seeking IT security services
• MSP Accounts: For managed service providers offering IT security services
• Admin Accounts: For platform administrators (by invitation only)

4. User Responsibilities

4.1 SMB Responsibilities

• Provide accurate information about your security needs and requirements
• Review proposals carefully before accepting
• Pay connection fees promptly when accepting a proposal
• Maintain confidentiality of MSP contact information

4.2 MSP Responsibilities

• Maintain accurate profile information, certifications, and service offerings
• Submit professional and accurate proposals
• Complete required certifications before accessing certain leads
• Maintain a valid payment method for connection fees
• Provide quality services to connected SMBs

5. Payments and Fees

5.1 Connection Fees

MSPs are charged a one-time connection fee when an SMB accepts their proposal. Fees are based on the SMB's budget tier:

• Starter: $49 (SMB Budget: Under $25K/year)
• Standard: $99 (SMB Budget: $25K - $75K/year)
• Premium: $149 (SMB Budget: $75K - $150K/year)
• Enterprise: $199 (SMB Budget: Over $150K/year)

5.2 Payment Processing

Payments are processed securely through Stripe. By using the Platform, you agree to Stripe's Terms of Service. We are not responsible for payment processing errors or disputes.

5.3 Refunds

Connection fees are non-refundable once a proposal is accepted and the connection is established. Refunds may be considered on a case-by-case basis for exceptional circumstances.

6. Security Scanning

SMBs may connect cloud accounts (AWS, Google Cloud, Microsoft 365) for security scanning. By connecting an account, you:

• Grant us permission to access your cloud account for security assessment purposes
• Understand that credentials are encrypted and stored securely
• Accept that scan results may be shared with matched MSPs (with your consent)
• Can disconnect accounts at any time through your dashboard

7. Matching and Proposals

Our matching algorithm connects SMBs with MSPs based on requirements, certifications, and compatibility. We do not guarantee:

• The quality or suitability of matched MSPs
• The acceptance of any proposal
• The success of any business relationship

SMBs are responsible for evaluating proposals and making their own decisions. MSPs are responsible for the accuracy and quality of their proposals.

8. Certifications

MSPs may be required to complete certain certifications to access specific leads. Certifications must be completed honestly and accurately. Falsifying certification completion may result in account suspension or termination.

9. Prohibited Activities

You agree not to:

• Use the Platform for any illegal or unauthorized purpose
• Impersonate any person or entity
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any part of the Platform
• Use automated systems to access the Platform without permission
• Share account credentials with others
• Engage in fraudulent or deceptive practices
• Violate any applicable laws or regulations

10. Intellectual Property

The Platform, including its design, features, and content, is owned by ITLOOP and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

11. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

12. Indemnification

You agree to indemnify and hold harmless ITLOOP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason we deem necessary. You may delete your account at any time through your account settings.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
